These Terms of Service ("Terms") govern your use of the GRIT app and website ("Service"), operated by Kanwar Gill, a sole proprietor based in Prince Edward County, Ontario, Canada ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Nature of the Service
GRIT is a community-driven farm stand discovery platform for Prince Edward County, Ontario. The Service displays information provided voluntarily by farm owners and visitors, including crop availability, hours, and photos.
No Guarantees: We do not verify, audit, or guarantee the accuracy, completeness, currency, or reliability of any information displayed on the Service. Farm listings, crop availability, hours of operation, and pricing are provided by third parties and may be outdated, incorrect, or unavailable at any time. You rely on this information entirely at your own risk.
2. Eligibility
You must be at least 13 years old to use the Service. By using the Service you represent that you meet this requirement. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
3. For Visitors
As a visitor, you may browse farm stands, view listings, and submit optional check-ins. Browsing does not require sharing your location. If you choose to check in, your browser will only receive a location request after you read what it's for and choose to continue (see our Privacy Policy). You can decline or revoke location in your browser settings at any time.
By submitting a check-in or crop report, you confirm that:
- You are physically present at or near the farm at the time of submission
- The information you submit is accurate to the best of your knowledge
- You understand your submission will be displayed publicly and may be used to update farm listings
We reserve the right to remove or modify any visitor-submitted content at our sole discretion.
4. For Farm Owners
By registering your farm stand, you agree to:
- Provide accurate, truthful information about your farm, location, and products
- Update your listing in a timely manner when information changes
- Only submit or upload photos and content that you own or have the right to use
- Not submit content that is false, misleading, defamatory, offensive, or unlawful
- Accept that your farm name, location, crops, and photos will be publicly visible
- Receive optional SMS messages from us about your listing; you may opt out at any time by replying STOP to any message, in accordance with CASL (Canada's Anti-Spam Legislation)
- If you choose the optional checkboxes when joining, we may send you a single text and/or email when your listing is approved, each including your private link to update your stand — not recurring marketing
We reserve the right to remove, edit, or decline any listing at our sole discretion, including listings that violate these Terms or that we determine are harmful to the community or to the integrity of the platform.
5. Use of Artificial Intelligence
The Service uses AI tools to suggest visible crops when a farm owner sends a photo by SMS, and to generate crop icons for new crop types. Those suggestions are optional helpers — farm owners choose what photos appear on their listing. AI-generated icons and AI-extracted crop hints may be reviewed and corrected by our team. No consequential decisions about individuals are made using AI. By submitting photos through the Service, you acknowledge that they may be processed by AI systems operated by third-party providers (see our Privacy Policy for details).
6. User Content Licence
By submitting any content to the Service (including photos, crop updates, check-ins, or farm descriptions), you grant us a non-exclusive, royalty-free, worldwide, irrevocable licence to use, display, reproduce, and distribute that content within the Service and in related promotional materials. You retain ownership of your content. We will not sell your content to third parties. You represent and warrant that your content does not infringe any third party's intellectual property rights.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Submit false, misleading, or fabricated farm or crop information
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Scrape, crawl, or reproduce content from the Service without our written permission
- Interfere with the availability or performance of the Service
- Impersonate any farm owner or other user
- Circumvent any geofencing, rate limiting, or other protective measures
Violation of this section may result in immediate suspension of your access to the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties including, without limitation:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- That the Service will be uninterrupted, error-free, or secure
- That any farm listing information is accurate, current, or complete
- That any farm stand will be open, stocked, or operating as listed
- That AI-generated content (icons, crop identifications) is accurate or appropriate
You expressly acknowledge that your use of the Service and any reliance on information displayed therein is solely at your own risk.
9. Limitation of Liability
To the maximum extent permitted by applicable Ontario and Canadian law, in no event shall we, our officers, employees, agents, or affiliates be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from your reliance on any farm listing, crop availability, or hours information
- Damages arising from unauthorized access to or alteration of your data
- Damages arising from any conduct of any third-party farm owner or visitor
Our total aggregate liability to you for any claim arising out of or relating to the Service shall not exceed CAD $100, regardless of the cause of action or the theory of liability.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Third-Party Content and Links
The Service may display content submitted by farm owners or links to third-party websites. We are not responsible for the accuracy, legality, or appropriateness of any third-party content. Links to external sites are provided for convenience only and do not constitute endorsement.
11. Indemnification
You agree to indemnify, defend, and hold harmless GRIT and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any content you submit; or (d) your violation of any applicable law or the rights of any third party.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 11, 13, and 14 survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising under or in connection with these Terms. You waive any objection to the exercise of jurisdiction by such courts.
14. Changes to These Terms
We may update these Terms at any time by posting a revised version with an updated effective date. For material changes, we will make reasonable efforts to notify users. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
